Welcome to SettleDash ("we", "our", "us"). These Terms & Conditions ("Terms") govern your access to and use of the SettleDash platform, including the dashboard, analytics features, integrations, invoicing tools, and all related services ("Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use SettleDash.

1. Description of Service

SettleDash provides settlement analytics and workflow tools for businesses accepting cryptocurrency payments. The Service may include:

  • Aggregating payment and settlement data from third-party processors
  • Generating analytics and insights
  • Offering invoicing features for merchants
  • Displaying exceptions (e.g., underpaid, expired, refunded payments)
  • Normalizing data across processors
  • Sync logs, processor health indicators, and integration tools

SettleDash does not operate as a payment processor, exchange, bank, broker, money transmitter, or financial institution.

2. Third-Party Integrations

You may connect SettleDash to third-party cryptocurrency payment processors (e.g., Coinbase Commerce, NOWPayments, Strike).

By connecting these services:

  • You authorize SettleDash to retrieve data on your behalf.
  • You acknowledge that SettleDash does not control the accuracy, uptime, or behavior of third-party APIs.
  • You are responsible for complying with the terms of those processors.

If a processor experiences downtime or incorrect reporting, SettleDash is not liable for delays or discrepancies.

3. Data Accuracy & Disclaimer

SettleDash aggregates settlement data from external processors. While we strive to maintain accuracy:

  • We cannot guarantee that data retrieved from third-party APIs is correct, complete, or timely.
  • All analytics, metrics, and insights are for informational purposes only.
  • You are responsible for verifying financial data with your payment processors or accounting systems.
  • SettleDash is not responsible for misreported, delayed, or missing data originating from third-party sources.

4. Merchant Responsibilities

You agree that:

  • You will use SettleDash in compliance with applicable laws.
  • You will maintain control of your connected processor accounts.
  • You are solely responsible for tax filings, financial reporting, reconciliation, and compliance.
  • You will not rely on SettleDash as your sole financial system of record.

SettleDash provides analytics—not financial, tax, accounting, or legal advice.

5. Invoices & Payments

If you use SettleDash's invoicing features:

  • SettleDash may generate invoices, but all payment collection happens through third-party processors.
  • SettleDash does not hold, process, receive, or transmit customer cryptocurrency or fiat.
  • Invoice status updates (e.g., paid, expired, underpaid) are dependent on third-party processors.

6. User Accounts & Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Ensuring authorized users only
  • Immediately notifying SettleDash of unauthorized access

SettleDash is not liable for losses arising from account misuse.

7. Acceptable Use

You may not:

  • Attempt to scrape, copy, or reverse engineer the platform
  • Use SettleDash to violate AML/KYC or financial regulations
  • Send malicious code, spam, or misuse API endpoints
  • Use the Service to process illegal transactions

Violation may result in immediate account suspension.

8. Service Availability

SettleDash may experience interruptions due to:

  • Maintenance
  • Third-party API outages
  • Network or server issues
  • Unexpected events

We do not guarantee uptime, data freshness, or continuous availability.

9. Limitation of Liability

To the maximum extent permitted by law:

  • SettleDash is not liable for indirect, incidental, or consequential damages.
  • SettleDash is not liable for financial losses related to inaccurate or missing data.
  • Total liability will not exceed the fees paid in the last 12 months (or $0 for free users).

10. Termination

We may suspend or terminate your access if you:

  • Violate these Terms
  • Abuse the Service
  • Attempt unauthorized access
  • Use the Service in a harmful or illegal manner

You may stop using SettleDash at any time.

11. Modifications

We may update these Terms from time to time. Continued use of SettleDash after changes means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, USA. Any disputes will be handled in the courts of that jurisdiction.
